2011 Proposed Changes to CCTV's Bylaws

Article Three, Section 2: Tenure and Qualifications of Directors
From: The governing body of the Corporation shall be a Board of Directors consisting of thirteen (13) persons including two persons selected by and from the Members Advisory Committee
To: The governing body of the Corporation shall be a Board of Directors consisting of not more than eighteen (18) persons including two persons selected by and from the Members Advisory Committee

Delete: The City Manager shall appoint the initial Board of Directors. Thereafter the Directors will be elected in accordance with the provisions of Section 3 of this Article. Except for the initial Board of Directors,

Retain: Directors shall be elected for terms of two years in accordance with the provisions of Section 3 of this Article.

Delete: The City Manager may appoint four members to an initial term of two years, four members to an initial term of three years, and four members to an initial term of four years.

From: All Directors must meet the eligibility requirements for membership
To: Those Directors elected by the membership of CCTV must be eligible for membership in CCTV. In cases where the Board requires specific expertise that it is unable to meet from the pool of those eligible for membership, the Board may appoint a person with that expertise, even if that person is not eligible for membership in CCTV. There shall be no more than 4 such members on the board at any one time.

Article Three, Section 3: Nomination and Election Process of Directors
From: The Board shall be charged with the responsibility of appointing six (6) of the Board seats at the Annual Meeting, three (3) in each year. Five (5) seats, two or three (2 or 3) each year depending upon the expiring terms of the elected seats, will be elected by the membership at the Annual Meeting.
To: The Board shall be charged with the responsibility of appointing up to ten (10) of the Board seats at the Annual Meeting, up to five (5) in each year. Six (6) seats, three (3) in each year, will be elected by the membership at the Annual Meeting

Article Four, Section 1: Officers
Delete: The City Manager shall appoint the initial officers of the Corporation

Add New Section 6: The officers of the Corporation shall constitute the Executive Committee, which shall be charged with making decisions on behalf of the entire Board of Directors in cases when it is not possible to convene the entire Board. The Executive Committee shall make its best effort to poll the full Board of Directors prior to making such decisions.

Article Six, Section 6: Compensation (for MAC Members)
From: In recognition of their time spent for the Corporation, MAC members shall receive free classes and a discounted membership fee
To: In recognition of their time spent for the Corporation, MAC members shall receive free classes and free membership
